Our client, an international Private Equity company, is currently looking to recruit a Deputy Corporate Secretary for their Luxembourg operations.
The purpose of the role is to coordinate the legal activity of the European subsidiaries from Luxembourg.
THE ROLE
You will be part of a team of 15 high qualified Corporate Secretaries and have a strong international exposure.
Provide general company secretarial support (boards meetings, proxies, circular resolutions, AGMs, EGMs, liquidations) for limited partnerships and entities domiciled in various jurisdictions and liaise with the corporate finance team to ensure that decisions are taken according to good company secretarial practice.
Assisting with Luxembourg entities as and when required, more specifically in establishing substance requirements and their role as true decision-makers, including attending quarterly review meetings, reviewing quarterly reports and annual asset plans, and preparing board papers for the physical meetings held in Luxembourg.
Playing an active role in the acquisition and disposal of investments, including being present at meetings of the Investment Committee, through to the collation of company documents for deal closings and acting as a general liaison point with other professionals involved.
Maintenance of statutory information, including management of the in-house company secretarial software package and updating as necessary.
Responding to KYC queries.
Acting as liaison point with auditors, lawyers, providing assistance/responding to general requests for information where necessary.
THE PROFILE
A University Degree in Law would be preferred.
A minimum of 3 years experience within a similar role.
Detail orientated, flexible and independent.
Fluent in English. French or German would be an asset.
