Our client, a leading financial services organisation, is recruiting for a Documentation Manager.
This is a new position for the Dublin team and will require the successful candidate to spend a short amount of time in London for training purposes.
Purpose of the role:
To provide documentation and transaction management support to the European Global Transaction Services Securities & Funds business. The reporting line is through Securities & Funds Services Implementations and within GTS Client Delivery.
There is also a dotted reporting line into GTS Legal.
The role is within an existing team of 5 headed by a lawyer and including one newly qualified lawyer providing transaction management services and documentation advice generally to the GTS Securities & Funds business.
The team provides an “end to end” service including maintenance, issuance, negotiation and execution of documentation for new global custody and funds business and negotiation of direct custody and clearing documentation.
The team is part of the Securities & Funds European Implementations Group. It also interacts closely with the GTS Securities & Funds lawyers.
This position provides an opportunity to work closely with clients, sales/relationship managers/implementation managers and the Product Risk, Legal and Compliance teams.
Key Responsibilities:
Assessment/review of documentation requirements for new deals Production of draft and execution documentation Negotiation of documentation in close liaison with business and Legal teams (including review and assessment of client comments and providing guidance thereon to business, drafting amendments to agreements and responses to clients and negotiations with clients) Managing the core documentation aspect of transactions in accordance with existing processes and policies; ensuring that files and databases demonstrate clear audit trails Ensuring any appropriate policy/business waivers and approvals are obtained and documented Providing advice/input on the structure of proposed transaction; contributing views/advice where appropriate to weekly new business Deal Review meetings Providing advice on changes to existing clients e.g. mergers, changes of name etc and drafting of novation agreements etc to ensure transfer of client obligations to resulting new entity Raising concerns to appropriate business people where interests of the bank require protection Generally advising as a “first port of call” on many and varied issues that arise in the Securities & Funds business on a daily basis; referring matters as appropriate and as the complexity of issue requires to relevant areas e.g. Legal Advice where requested on responses to RFP legal questions
